AerCap Holdings N.V. Purchases 10 Million Shares held by Cerberus

AMSTERDAM, The Netherlands, August 20, 2012 - AerCap Holdings N.V. ("AerCap," "the Company," NYSE: AER) purchased 10 million ordinary shares in AerCap held by Cerberus Capital Management, L.P. through its affiliate, Fern S.a.r.l. in a privately negotiated transaction today. The aggregate purchase price for 10 million ordinary shares is $120 million which represented a discount of $0.09 per share from the $12.09 closing price of the ordinary shares on the New York Stock Exchange on Friday, August 17, 2012. After this transaction, Cerberus remains a holder of more than 10% of AerCap's outstanding ordinary shares.


This purchase is in addition to the previously announced repurchase program pursuant to which AerCap may purchase up to $200 million of its ordinary shares prior to June 30, 2013. As of August 20, 2012, up to approximately $104 million in additional shares may be purchased under this program.
